Terms and Conditions for using the test environment (Sandbox)

(“Terms and Conditions”)
§ 1
General provisions
- These Terms and Conditions define the rules for using the test environment (hereinafter: "Sandbox"), which provides tools and APIs for testing services related to the technical handling of the verification process of a specific user data set, which services are provided using selected methods.
- The operator of the Sandbox and the owner of the solution is Authologic Sp. z o.o. with its registered office in Warsaw, address: ul. Złota 59, 00-120 Warsaw, KRS number: 0000851095, registration court keeping the company's documentation: District Court for the Capital City of Warsaw in Warsaw, XII Commercial Division of the National Court Register, NIP: 5223186837, REGON: 386578530, share capital 23,750.00 PLN (hereinafter: "Provider").
- The Sandbox may only be used by an entity conducting business or professional activity (hereinafter: "User"). The Sandbox is not available to consumers.
- Registration of a User account in the Sandbox constitutes acceptance of these Terms and Conditions.
- The User's expression of intent to switch to the production environment or clicking the appropriate offer selection button constitutes an invitation to conclude an agreement (in accordance with Article 71 of the Polish Civil Code) and does not constitute an offer within the meaning of the Polish Civil Code. The agreement is not concluded automatically upon the User clicking.
- The Provider reserves that the acceptance of the User for the purpose of accessing the production environment is subject to the acceptance of the User as a client of the Provider, in accordance with the Provider's internal onboarding procedures.
- The Provider reserves the right to refuse the registration of a User and the acceptance of a User as a client of the Provider without giving any reason.
§ 2
Purpose and technical conditions of the Sandbox
- The Sandbox is a demonstrative, isolated development environment. Its sole purpose is to enable the User to familiarize themselves with the functionality of the solution, perform integration tests, and assess the technical utility of the system before making a decision on commercial cooperation with the Provider
- All data used in the Sandbox must be test data. It is forbidden to enter real personal data, genuine identity documents, or any production data into the Sandbox
- The Provider reserves the right to introduce changes to the Sandbox, limit the number of queries, and temporarily suspend the availability of the Sandbox without giving any reason or informing the User.
§ 3
Access and registration
- In order to gain access to the Sandbox, the User fills out the registration form, providing the basic details of the entity on whose behalf they are acting and the email address used for business purposes.
- The User receives unique authentication credentials: a) the login is the email address provided by the User during registration, b) the password is set by the User themselves during the process of filling out the registration form.
- The User's API key is generated independently after receiving access to the Sandbox, i.e., after completing the full process in the registration form.
- The User is obliged to keep their individual authentication credentials confidential. Responsibility for all activities undertaken using the User's API keys rests solely with the User.
§ 4
Test period and fees
- Using the Sandbox for testing purposes is completely free of charge.
- Access to the Sandbox is granted for a fixed term of 90 days, counted from the day of activation of the User's account, after which the User's access to the Sandbox may be revoked.
- The Provider, upon the User's request, may decide to extend the test period, informing the User about this via the email address provided during registration.
- After the expiration of the test period, access to the Sandbox expires automatically, unless the User submits an application to conclude a cooperation agreement with the Provider.
§ 5
Intellectual property and confidentiality
- All intellectual property rights to the software, API interfaces, documentation, and technological solutions made available in the Sandbox belong exclusively to the Provider.
- Using the Sandbox does not imply the transfer of any copyrights. The User receives only a limited, non-exclusive, territorially restricted, and non-transferable license to use the Sandbox solely for testing purposes.
- Information about the system architecture, the operation of the API, and encountered errors constitutes a trade secret of the Provider and may not be disclosed to third parties.
§ 6
Transition to the production environment
- At any time during the use of the Sandbox (or immediately after the completion of tests), the User may submit an electronic application to conclude a cooperation agreement and obtain access to the production environment.
- Concluding an agreement for the provision of production services is conditional. The condition for concluding the agreement and launching the services is a positive outcome of the User's verification by the Provider.
- As part of the verification process referred to in section 2 above, the Provider applies its own internal onboarding procedure.
- The User acknowledges that the Provider does not hold the status of an obliged institution within the meaning of the Act on Counteracting Money Laundering and Terrorism Financing, and the KYC procedure is applied voluntarily as an internal measure for security, risk management, and system stability protection. The grounds for data processing can be found in the Privacy Policy of Authologic Sp. z o.o., available at www.authologic.com.
- In order to pass the verification procedure, the User is obliged to: a) provide full and truthful registration data of the entity they represent, as well as the persons authorized to represent it when concluding the cooperation agreement, b) present additional documents that the Provider may request.
- The Provider reserves the right to refuse to conclude a cooperation agreement and refuse to grant access to the production environment without giving any reason, in particular in the event of a negative KYC verification result, failure to provide requested documents, or identification of increased business risk.
- Due to the refusal to conclude the agreement referred to in section 6 above, the User shall not be entitled to any claims against the Provider, including claims for damages or compensation.
- Upon obtaining a positive verification result, the parties will sign a cooperation agreement, which will result in the activation of production access.
§ 7
Liability and security
- The Provider makes the Sandbox available on an "as is" basis.
- The Provider does not guarantee the error-free operation of the Sandbox nor does it bear liability for any damages (including loss of profits, business interruption) resulting from its use or the inability to use it.
- In the event that the User is found to be using the Sandbox contrary to its intended purpose (e.g., conducting DDoS stress tests, attempting to breach security measures, or entering real personal data), the Provider has the right to block access with immediate effect and the user waives all claims in this respect.
§ 8
Liability and security
- The Provider reserves the right to amend these Terms and Conditions. Users will be informed about amendments via email with a 7-day notice period.
- In matters not regulated by these Terms and Conditions, the provisions of Polish law shall apply, in particular the Civil Code.
- Any disputes will be resolved by the court having local jurisdiction over the registered office of the Provider.
